Scope and Acceptance These Terms of Service (“Terms”) govern the sale of custom cardboard displays, display boxes, and related packaging products by Long Win Display Shenzhen Limited (“we,” “us,” or “our”) via www.longwindisplay.com. By placing an order or making payment, you (“Customer”) agree to be bound by these Terms.
2. Pricing and Validity
• All prices are quoted in the currency specified on the quotation and are subject to change due to fluctuations in raw material costs (e.g., corrugated board, paperboard, ink) and other market conditions.
• Unless otherwise stated in writing, quotations are valid for 30 days from the date of issue. Orders placed after this period may be subject to price adjustment.
• In the event of significant raw material price increases after an order is confirmed but before production begins, we reserve the right to request a price adjustment or to renegotiate terms in good faith. Production will commence only upon mutual written agreement.
3. Die-Cut and Tooling Ownership
• Where the Customer pays a separate mold, die-cut, or tooling fee, the corresponding dies, plates, and tooling shall be owned by the Customer.
• We will store and maintain such tooling free of charge during the period of our business cooperation, provided that the Customer continues to place orders with us.
• Tooling will be used exclusively for the Customer’s orders unless otherwise authorized in writing. Upon written request and settlement of all outstanding balances, tooling may be returned to the Customer at the Customer’s shipping cost and risk, subject to reasonable wear and tear.
4. Delivery Terms (Incoterms 2020)
Unless otherwise agreed in writing, all deliveries are governed by Incoterms 2020:
• EXW (Ex Works): Risk transfers to the Customer when goods are made available at our premises. The Customer is responsible for all transport, export, and import formalities.
• FOB (Free On Board): Risk transfers when goods are loaded on board the vessel at the named port of shipment. The Customer bears all costs and risks from that point onward.
• CIF (Cost, Insurance and Freight): We arrange and pay for freight and minimum insurance to the named port of destination, but risk transfers once goods are on board the vessel at the port of shipment.
• DDP (Delivered Duty Paid): We deliver goods to the named destination, cleared for import, with duties and taxes paid. Risk transfers upon delivery at the agreed destination.
Delays caused by customs inspections, documentation issues, or import restrictions shall be deemed force majeure events and will not constitute a breach of delivery obligations.
5. Artwork Approval and Production Timeline
• Upon receipt of artwork or design files from the Customer, we will provide a digital proof or sample for confirmation.
• The Customer must review and confirm, or request revisions, within 48 hours of receipt. Failure to respond within this period may result in production delays, for which we shall not be liable.
• Production lead times begin only after:
• Artwork and/or Golden Sample have been approved in writing;
• All required deposits or payments have been received; and
• All necessary information (e.g., shipping instructions, packaging details) has been provided.
6. Force Majeure
We shall not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure is caused by events beyond our reasonable control, including but not limited to:
• Port strikes or labor disputes;
• Shortages of raw materials or energy;
• Natural disasters, epidemics, or government actions;
• Wars, terrorism, or civil unrest;
• Customs delays, inspections, or regulatory changes.
In such cases, delivery times will be extended accordingly, and we will notify the Customer as soon as reasonably practicable.
7. Limitation of Liability
• Our total liability for any claim arising out of or in connection with an order shall not exceed the total amount paid by the Customer for the specific order giving rise to the claim.
• We shall not be liable for any indirect, consequential, or special damages, including loss of profit, sales, or business opportunities.
8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes arising from or in connection with these Terms shall first be resolved through good-faith negotiation. If no resolution is reached within 30 days, the dispute shall be submitted to the competent courts in Yiwu, Zhejiang, China.
